1. Acceptance of Terms

By accessing or using Proa One ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. Proa One Inc. ("we", "the Company") is a Delaware corporation, USA.

2. Service Description

Proa One is an AI-powered operations management platform for businesses. It includes work order management, cost control, team management, inventory, knowledge base, CRM, and an AI copilot.

3. User Accounts

• >You must provide accurate and current information when creating your account
• >You are responsible for maintaining the security of your account and password
• >You must notify us immediately of any unauthorized use of your account
• >You must be at least 18 years old to create an account

4. Acceptable Use

By using the Service, you agree not to:

• >Violate applicable laws or regulations
• >Attempt to access other users' accounts or data
• >Interfere with the operation of the Service
• >Use the Service to send spam or malicious content
• >Reverse engineer the Service
• >Resell access to the Service without authorization

5. Data Ownership

Your data is yours.

• >You retain all ownership rights to the data you enter into Proa One
• >You grant us a limited license to process your data solely to provide the Service
• >You can export or delete your data at any time
• >We will never use your data to train AI models or for any purpose outside the Service

6. AI and Data Processing

Proa One includes an AI copilot that processes your operational data to answer questions and automate tasks. This processing:

• >Is performed exclusively within your account and organization
• >Does not share data with other customers
• >Uses third-party AI models (Anthropic) under data processing agreements
• >Your data is not used to train external models

7. Payments and Billing

• >Payments are processed through Stripe
• >Subscriptions are billed monthly in advance
• >You can cancel your subscription at any time; access continues until the end of the paid period
• >Prices may change with 30 days notice
• >Applicable taxes (VAT, IGIC, sales tax) will be added based on your location

8. Service Availability

We strive to maintain 99.9% availability. However, the Service is provided "as is" and we do not guarantee uninterrupted availability. We will perform scheduled maintenance with prior notification.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Proa One Inc. shall not be liable for indirect, incidental, special, or consequential damages. Our total liability shall not exceed the amount paid for the Service in the 12 months preceding the event giving rise to the claim.

This limitation does not apply in jurisdictions where such exclusion is prohibited by law (including the EU in certain circumstances).

10. Termination

• >You can cancel your account at any time from your account settings
• >We may suspend or terminate your account if you violate these terms
• >After cancellation, your data will be retained for 30 days so you can export it
• >After 30 days, your data will be permanently deleted

11. Governing Law

For users in the United States:

These terms are governed by the laws of the State of Delaware, USA. Disputes shall be resolved in the courts of the State of Delaware.

For users in the European Union / Spain:

For EU consumers, the consumer protection laws of your country of residence will apply. You have the right to file claims before the courts of your habitual place of residence. EU Online Dispute Resolution platform: ec.europa.eu/odr

12. Changes to Terms

We may update these terms from time to time. Significant changes will be notified by email with 30 days notice. Continued use of the Service after notification constitutes acceptance of the new terms.
